She has acted on behalf of clients on a range of deals, including representing sellers and purchasers in public and private entity mergers and acquisitions, divestitures and sales processes; acting on behalf of commercial real estate sponsors and investors in fund formations and restructurings; and representing issuers, agents, private lenders and borrowers in equity and debt financings. Sarah also regularly advises companies in respect of corporate governance matters and commercial organization and structuring matters. Sarah applies her adaptable and practical style to all matters, ensuring that clients receive efficient service. Sarah is a board member of viaSport and previously sat on the board of directors for the Vancouver International Marathon Society. Experience • Citimark Group in its joint venture with Apex Developments to form Yorkville West Limited Partnership for the subdivision and residential development of 160 acres within the City of Calgary. • Gateway Casinos & Entertainment Limited, in its US$1.25-billion cross border loan led by refinancing of capital structure to facilitate repayment of LEEFF loan. • Gateway Casinos & Entertainment Limited, in a $200-million loan made available by Canada Enterprise Emergency Funding Corp. (CEEFC) under the Large Employer Emergency Financing Facility (LEEFF). The LEEFF loan to Gateway was the first loan advance of its kind. • UrtheCast Corp. in its $100-million restructuring under the Companies Creditors Arrangement Act and sale of its UrtheDaily and OptiSar constellation assets. • Canaccord Genuity Corp. in multiple bought deal offerings for Cloud MD Software & Services Inc. • Refresh Financial, in connection with its acquisition by Borrowell Inc. in a combined share and asset deal anticipated to close in the first quarter of 2021. • BDC Capital Inc., as a key institutional investor, in a $20-million investment in ArcTern Ventures’ Fund II. • BDC Capital Inc., in a $13-million investment on its own behalf, and $20-million in respect of the VCCI funding for an aggregate investment of $33-million in Renewal4. |
