Overview

Allegra Hessels has a broad corporate commercial practice, with an emphasis on public and private mergers and acquisitions (M&A), capital markets transactions, corporate governance, and other general corporate/commercial matters.

Allegra's experience includes:

  • acting for buyers and sellers in M&A transactions, including asset and share purchase transactions, amalgamations, corporate reorganizations and plan of arrangements;
  • assisting founders and start-ups or early-stage companies with matters relating to formation and contract development, private equity and venture capital investments, and navigating other general commercial law issues;
  • assisting clients in the energy sector on project development and joint venture and co-ownership structuring, including working on co-ownership arrangements between industry and Indigenous communities respecting equity ownership and investments in renewable energy projects, such as wind and solar projects in Canada; and
  • advising clients on routine corporate and securities law matters, including those related to governance, compliance and disclosure obligations.

Prior to becoming an associate at Bennett Jones, Allegra both summered and articled with the firm.

Outside of work, Allegra is an active volunteer with the Calgary Stampede and a member of the 4-H Rodeo Committee.

•  TriWest Capital Partners in connection with the sale of its portfolio group of companies, Fraser River Pile & Dredge, to Bird Construction 
•  TriWest in its indirect investment through its affiliates of a majority equity interest in Alta West Mortgage Capital
•  Imagine Health Medical Clinics Ltd., Imagine Health Pharmacies & Research Ltd. and Imagine Health Physio Ltd., Alberta-based private health companies consisting of integrated medical centres, pharmacies and ancillary services, in its acquisition by Datametrex AI Limited.
•  Heartland Generation in its C$658-million sale to TransAlta
•  TriWest Capital Partners, in connection with its partnership with Monarch Industries Limited, a leading vertically integrated manufacturer of hydraulic cylinders and custom iron castings.
•  ATCO Power (2010) Ltd. in its restructuring and co-ownership, financing, and funding transactions related to Chiniki and Goodstoney First Nations' participation in the Deerfoot and Barlow solar projects.
•  Circa Enterprises Inc. in connection with a concurrent go-private transaction via amalgamation with 2023 Sicame Amalco Inc. and concurrent asset sale of the corporation's telecom business to Guardian Telecom Ltd. for the base consideration of approximately $26.5-million.
•  Canadian Fiber Optics Corp. in the private equity investment by Star America Infrastructure Partners, LLC, by way of private placement.
•  Jumbo Interactive Limited, a public Australian company, in its purchase of 100% of the issued share capital of Stride Management Corp., a company which develops and uses digital technologies to sell community (charity) lotteries in the various provinces in Canada.
•  ATCO Ltd., through Canadian Utilities Limited, in its acquisition from Aura Power Renewables of the 39 MW Empress solar project located in eastern Alberta.
•  ATCO Ltd., through Canadian Utilities Limited, in its acquisition from DP Energy of the Barlow (27 MW) and Deerfoot (37 MW) solar projects located in Calgary, which will be the largest solar installation in a major urban centre in Western Canada.
•  SECURE Energy Services Inc., in its $2-billion acquisition of Tervita Corporation.
•  Cenovus Energy Inc., in its $23.6-billion proposed acquisition of Husky Energy Inc.
•  Schlumberger Canada Limited, in its acquisition of Pacesetter Directional Drilling Ltd.
•  Canadian Utilities Limited, an ATCO company, in the sale of its entire Canadian fossil fuel-based electricity generation portfolio for approximately $835 million, which was completed in three stages, through the sale of its interest in the Cory project in Saskatchewan to SaskPower International Inc., a sale of its interest in the Brighton Beach project in Ontario to Ontario Power Generation Inc., and a sale of the balance of the applicable generation assets through a sale of its equity interest in ATCO Power Canada Ltd. to Heartland Generation Ltd., an affiliate of Energy Capital Partners
