Overview

Fatima Kawar maintains a corporate and commercial law practice focusing on banking and secured transactions. She routinely acts for borrowers and lenders on a wide range of lending transactions, including domestic and cross-border debt financings, syndicated loan financings, asset-based loans, acquisition financings and mortgage lending.

Prior to joining Bennett Jones, Fatima practiced at a global law firm.

•  Osisko Development in its US$650-million debt and equity financing package to support the development and construction of its Cariboo Gold Project
•  Resolute Health, a portfolio company of Kensington Private Equity Fund, in its acquisition of Breathe Well Respiratory Clinic
•  Blue Ant Media in its go-public transaction by way of reverse takeover of Boat Rocker Media
•  Employment Hero Holdings, as Canadian counsel, in its acquisition of Humi Holdings, valued at over C$100 million
•  ECI Software Solutions, a global provider of cloud-based business management software and services, in its acquisition of Avid Ratings
•  Argonaut Gold in its sale to Alamos Gold representing an enterprise value of US$555 million and in its concurrent spin-out of its US and Mexico assets into a new junior gold producer, Florida Canyon Gold
•  Florida Canyon Gold in its sale to Integra Resources by way of a court approved plan of arrangement for implied consideration of approximately C$95 million
•  York1 Waste Solutions Ltd., a member corporation of the York1 Group of Companies, a leading private equity-backed environmental and infrastructure services provider, in its acquisition of First Choice Disposal, a private corporation specializing in residential, commercial, and industrial waste and recycling solutions in the Greater Toronto Area.
•  Osisko Mining Inc. on its earn-in and joint venture on certain mineral properties held by Bonterra Resources Inc. in Quebec's Eeyou Istchee James Bay region.
•  Mountain Province Diamonds Inc. in its issuance of US$195,000,000 of 9.000% Senior Secured Second Lien Notes due 2025.
•  York1 Group of Companies, a leading private-equity backed environmental and infrastructure services provider, in its acquisition of United Environmental Holdings Inc., a leading solid waste service provider in Ontario, specializing in the industrial, commercial, and institutional waste sectors.
•  Ali Group S.r.l., in it's connection with approximately US$4.5-billion acquisition financing for its acquisition of Welbilt, Inc., comprising of term and revolving loan facilities.
•  Rosedale Resources Ltd. in its combined $93.4-million acquisition of certain royalties from Equinox Gold Corp. and Sandstorm Gold Ltd., and Rosedale's continuation as Sandbox Royalties Corp.
•  Wells Fargo, on various ABL loans to borrowers in various industries.
•  Freed Developments Ltd. in its approximately $330-million acquisition of a portfolio of real property assets of including Horseshoe Valley Resort, Deerhurst Resort and some additional lands from Skyline Investments, together with the purchase of the portion of Muskoka Bay Resort it did not already own.
•  York1 Group of Companies, a leading private-equity backed environmental and infrastructure services provider, in its acquisition of the Budget Group of Companies, specializing in residential, commercial, and industrial waste and recycling solutions as well as metal salvage, waste facilities and demolition.
