Overview

Michael Ramsay is a seasoned Corporate Commercial Lawyer with a wealth of experience in various facets of commercial real estate and debt financing, boasting a proven track record in assisting clients with leasing, financing and purchase transactions. His expertise extends to debt financing transactions, where he has handled numerous transactions for both lenders and borrowers.

•  SECURE Waste Infrastructure Corp. (TSX: SES), a leading waste management and energy infrastructure company, in its $31-million acquisition of a metals recycling business
•  The vendor in the sale of a shopping centre located in south-east Calgary
•  Hillcore Group in its acquisition of CEDA, a leading service provider specialized in providing industrial maintenance, turnaround and environmental services in Western Canada.
•  ATCO Power (2010) Ltd. in its restructuring and co-ownership, financing, and funding transactions related to Chiniki and Goodstoney First Nations' participation in the Deerfoot and Barlow solar projects.
•  Mountain Province Diamonds Inc. in its issuance of US$195,000,000 of 9.000% Senior Secured Second Lien Notes due 2025.

Alcanna Inc. in its $81-million disposition of liquor retail operations in British Columbia.

•  Alcanna Inc. in its approximately $320-million acquisition by Sundial Growers Inc. 
•  North West Redwater Partnership in a consent solicitation from $6.35-billion of bonds for a substantially revised and amended Trust Indenture, a $2.6-billion four tranche bond issuance, an amendment of the Partnership's $3.5-billion senior secured credit facilities, amendments to the Processing Agreements backstopping the economics of the Refinery, a transfer of partnership units from North West Refining Inc. to Alberta Petroleum Marketing Commission and substantial amendments to the governance structure of the Partnership.
•  North West Redwater Partnership in the $480-million transfer of 50% ownership of the North West Redwater Partnership to Alberta Petroleum Marketing Commission as part of a contractual, economic and governance restructuring of the Sturgeon Refinery.
•  Zedi Inc., in the sale of its software and automation businesses to affiliates of Emerson Electric Co.
•  Kissner Group Holdings LP, completed its acquisition of NSC Minerals Ltd., a market-leading provider of salt products in Western Canada and the North Central United States, from an investor group led by Altas Partners.
•  JBS Food Canada ULC, in its acquisition of a case ready meat packaging plant from MCF Holdings Ltd.
•  CST Canada Coal Limited, in its acquisition of coal assets of Grande Cache Coal LP and Grande Cache Coal Corporation for aggregate consideration of approximately US$433.9 million.
•  TriWest Capital Partners, one of Canada's leading private equity firms, in its acquisition of a majority interest in Trimlite Mfg Inc—a manufacturer and distributor of high quality stile and rail doors, fiberglass doors, decorative glass, door accessories and other home and building products for the North American building material industry—in partnership with Trimlite's senior management team.
