Rebecca Taylor maintains a general corporate commercial law practice with a focus on mergers and acquisitions, securities offerings and general corporate and commercial matters.
Overview

Rebecca has experience in corporate and securities laws matters, including public and private offerings of equity and debt securities, corporate governance and continuous disclosure requirements. Her practice spans a diverse range of industries.

Before becoming an associate, Rebecca summered and articled with the firm. During her articling year, she had the unique opportunity to be seconded to a large public company, gaining invaluable in-house experience and insight into the energy sector's legal and business operations.

•  TriWest Capital Partners in connection with the sale of its portfolio group of companies, Fraser River Pile & Dredge, to Bird Construction 
• 

Canadian Natural Resources Limited in its concurrent C$500-million and US$1.5-billion private placements of unsecured notes

•  Canadian Pacific Railway Company in its C$1.4 billion debt offering of notes, guaranteed by Canadian Pacific Kansas City Limited
•  The underwriters, led by ATB Securities, National Bank Financial and RBC Capital Markets, on their own behalf and on behalf of a syndicate of underwriters, comprised of Canaccord Genuity, Stifel Nicolaus Canada and Acumen Capital Finance Partners, in a bought deal public offering in Canada and private placement in the USA by InPlay Oil of subscription receipts for total gross proceeds of approximately C$32.8 million
•  North West Redwater Partnership and NWR Financing Company Ltd., in its $1.3 billion issuance of Series P Senior Bonds and Series Q Senior Bonds, led by CIBC World Markets Inc. and RBC Dominion Securities Inc. as lead agents.
•  Kohlberg Kravis Roberts & Co., in connection with its C$1.19-billion acquisition of an indirect minority equity interest in the Labrador-Island Link from Emera Inc. 
•  Imagine Health Medical Clinics Ltd., Imagine Health Pharmacies & Research Ltd. and Imagine Health Physio Ltd., Alberta-based private health companies consisting of integrated medical centres, pharmacies and ancillary services, in its acquisition by Datametrex AI Limited.
•  The Surveillance Shop Ltd. in connection with the sale of 100% of its outstanding equity securities to BearCom Canada Corp.
•  BofA Securities, Inc., CIBC World Markets Corp. and RBC Capital Markets, LLC in connection with the remarketing of Algonquin Power & Utilities Corp.'s US$1.15-billion aggregate principal amount of 1.18% Senior Notes.
•  Anthem Properties Group, in its acquisition of The Cedarglen Group Inc. and the formation of Anthem Cedarglen Developments Limited Partnership.

Carnelian Energy Capital Management, L.P., as Canadian counsel in its capital commitment and investment in Parallax Energy, L.P.

•  Riverstone Pipestone LP and Riverstone V REL CNOR LP, the largest shareholders of Pipestone Energy Corp., in connection with the acquisition by Strathcona Resources Ltd. of all of the outstanding shares of Pipestone pursuant to a plan of arrangement.
•  Omega Morgan Holdings, Inc. in its acquisition of Donald Rigging Ltd. 
•  TriWest Capital Partners in connection with the sale of its portfolio company, ZyTech Building Systems LP, to Dick's Lumber, a banner of RONA Inc., a portfolio investment of Sycamore Partners.
•  Repsol Oil & Gas Canada Inc. in its US$468-million sale of all partnership interests of Repsol Canada Energy Partnership to Peyto Exploration & Development Corp.
•  Keyera Corp. in its $230-million bought deal equity offering.
