Overview

Amy Verhoeff has a general corporate and commercial practice with a focus on mergers and acquisitions, private equity, commercial transactions and other corporate law matters.

Acting for a diverse group of clients in various industries, including oil and gas, real estate, energy services, agribusiness and technology, Amy routinely advises buyers, sellers and private equity groups on a wide range of domestic and cross-border transactions, including joint ventures, asset and share purchases and sales, fund formations, corporate reorganizations and project financing. Her work on these transactions ranges from strategic advice to legal and business risk analysis, due diligence and drafting of definitive agreements and other transactional documents. 

Amy is regularly involved in the negotiation and drafting of key commercial agreements such as unanimous shareholder agreements, partnership agreements and employee incentive plans. She also advises clients with ongoing corporate and governance issues that arise in businesses, non-profit organizations and professional corporations. 

As an active member of the local business community, Amy currently serves on the advisory committees of the Edmonton Chapter of Young ACG (Association for Corporate Growth) and the Stollery Women's Network. She is also the co-chair of Edmonton Women in Finance's professional sub-committee and is the Vice-President of the Board of Directors of YWCA (Edmonton).

Prior to becoming an associate at Bennett Jones, Amy summered and articled with the firm.

•  KV Capital's private equity division in its strategic partnership with Nelson Lumber Company Ltd., a leader in the building materials industry.
•  The shareholders of a Western Canadian-based parts and services company in its sale to an international strategic buyer.
•  Resource Modeling Solutions Ltd., an Alberta-based mining software company, in its share sale to a strategic buyer.
•  Drayden Insurance Ltd. in the sale of all of its shares to McDougall Insurance Brokers Limited ("McDougall"), a subsidiary of Definity Financial Corporation, for $208-million.
 
•  Maclab Communities Ltd. in their purchase of approximately 56 acres of land, buildings and associated real property rights in Edmonton, Alberta, constituting the Mill Woods Town Centre Mall.
•  Local Waste Services Corp. in the sale of all of its shares to Environmental 360 Solutions Inc.
